THE ONE SUBSTANTIVE CHANGE TO THIS BOND ISSUE SINCE FOUR WEEKS AGO IS THAT JESSE AND THE BOND FINANC TEAM WERE ABLE TO REDUCE IN HALF THE DEBT SERVICE RESERVE FUND.SO NOW, INSTEAD OF A DEBT SERVICE RESERVE FUND THAT'S EQUAL TO A FULL YEAR OF PRINCIPAL AND INTEREST, IT'S ONLY SIX MONTHS WORTH OF PRINCIPAL AND INTEREST AS REASSURANCE TO BOND HOLDERS THAT THEY'LL GET PAID.
UM, SO THAT REDUCES THE AMOUNT OF, UM, BONDS THAT NEED TO BE SOLD IN ORDER TO REFUND THESE EXISTING BONDS.
'CAUSE LESS, FEWER BONDS ARE OUTSTANDING THAN WE WILL BE OUTSTANDING AFTER THE SALE THAN WE THOUGHT, UM, FOUR WEEKS AGO.

UM, THERE'S ONE IMPORTANT DIFFERENCE IN THE BOND COVENANTS IN THIS BOND ISSUE COMPARED WITH THE 2015 BOND ISSUE, WHICH IS THE, UH, HOW ABOUT IF I JUST TALK LOUD HERE? HERE, USE THIS.

CASHFLOW, PRIORITY OPERATIONS AND MAINTENANCE COSTS GET PAID FIRST OUT OF THOSE NET REVENUES OR OUT OF GROSS REVENUES.
THEN WE GET TO THE, UH, RATE COVENANT ON HOW HIGH RATES NEED TO BE SET AND WHAT'S CALLED THE DEBT SERVICE COVERAGE RATIO.
SO BOND HOLDERS, AND THIS IS STANDARD ACROSS ALL KINDS OF REVENUE BONDS ISSUED BY ALL KINDS OF GOVERNMENT ORGANIZATIONS.
BOND HOLDERS WANT YOU TO WANT ISSUERS LIKE THE CITY TO SET RATES OR IF IT'S TAXES, TO SET TAXES.
BUT USUALLY IT'S RATES HIGH ENOUGH NOT JUST TO MAKE SURE THAT OPERATIONS AND MAINTENANCE CAN BE PAID FOR.
AND NOT JUST TO BE SURE THAT INTEREST IN PRINCIPLE CAN BE REPAID TO BOND HOLDERS, BUT THEY WANT A CUSHION.
AND THAT CUSHION IS IN THIS CASE, AND IN MANY CASES, 25% OF ANNUAL DEBT SERVICE.
SO BOND HOLDERS WANT RATES TO BE SET AND REVENUE TO BE COLLECTED AT

LEAST SUFFICIENT TO COVER 1.25 TIMES ONE AND A QUARTER TIMES ANNUAL DEBT SERVICE.AND THE REASON FOR THAT IS, AGAIN, GOING BACK TO THE, EVERYBODY HAS THE SAME INTEREST, INCLUDING BOND HOLDERS OF HAVING A HEALTHY, STABLE, WORKING GOOD CONDITION SET OF MARINAS BECAUSE THE MARINA'S SMALL APART, THEN THERE'S NOT GONNA BE ANY REVENUE AND THE BOND HOLDERS DON'T GET PAID.
SO I I THE RATE COVENANT IS A, IS BOND HOLDER'S WAY OF ENSURING THAT THE CITY DOESN'T BLEED, UH, THE ISSUING FUND DRY AND USE THE MONEY FOR SOMETHING ELSE AND LEAVE THE, UH, ASSETS THAT GENERATE THE REVENUE THAT PAYS BOND HOLDERS TO DWINDLE AND DIE.
AND THAT'S, THAT COVENANT HAS TO BE MET EVERY YEAR.
SO RATES WILL ALWAYS BE SET HIGH ENOUGH IN ANTICIPATION OF HAVING 1.25 TIMES COVERAGE.
SO THAT'S THE RATE COVENANT AND DEBT SERVICE COVERAGE RATIO.
SO WHEN, WHEN, IF YOU DON'T MIND, SURE.
WHEN, WHEN YOU LOOK AT THAT COVENANT, EVEN THOUGH ON REDUCING THE BOND THAT WE CURRENTLY HAVE, AND IT STRIKES THAT OUT, WE STILL HAVE AN AUTOMATIC COVENANT THAT'S THERE THROUGH THE CITY THAT ASSURES THAT THESE DOLLARS GET PAID AND THESE DOLLARS ARE KEPT.

THIS, LIKE I SAID, IT'S PRETTY STANDARD, UM, ACROSS ALL REVENUE BOND ISSUES.
NOW THE BIG ONE THAT HAS BEEN HAS EXCITED A SUBSTANTIAL AMOUNT OF COMMENT IS THE STAFF RECOMMENDATION TO CHANGE THE PERMITTED USE OF SURPLUS FUNDS, FUNDS THAT WOULD BE ABOVE AND BEYOND WHAT THE FIRST FOUR COVENANTS REQUIRE.
RECALL MY COMMENTS A YEAR AGO, EXCUSE ME, A MONTH AGO.
I SAID THE STATE OF CALIFORNIA IMPOSED THE REQUIREMENT ON THE CITY FOR 27 YEARS THAT ALL MARINA FUND REVENUE STAY IN THE MARINA FUND COULDN'T BE USED EVEN FOR TITLES, LET ALONE ANYTHING ELSE.
WELL, NOW THAT COVENANT CAN, THE STATE IMPOSED REQUIREMENT OF KEEPING ALL REVENUE INSIDE THE MARINA FUND FALLS AWAY AS SOON AS WE REPAY A COUPLE HUNDRED THOUSAND DOLLARS TO THE STATE.
AND THE LAST STATE, UH, LOAN TO THE CITY GOES AWAY.
SO STAFF GOES AND LOOKS AT THE CITY COUNCIL'S DEBT MANAGEMENT POLICY AND THE CITY COUNCIL'S DEBT MANAGEMENT POLICY SAYS, MAXIMUM FLEXIBILITY IN DEBT.
WELL, MAXIMUM FLEXIBILITY MEANS CITY COUNCIL DON'T RESTRICT YOURSELF THE WAY THE STATE DID TO USING EXCESS MARINA FUND MONEY ONLY IN THE MARINA FUND.
IT WOULD ALSO BE LEGAL AND MORE FLEXIBLE TO HAVE THE ABILITY FOR CITY COUNCIL TO MOVE MONEY, EXCESS MONEY.
AFTER ALL THESE FOUR COVENANTS ARE MEANT TO MOVE EXCESS MONEY FROM THE MARINA FUND TO THE TITLES FUND.

IT'S ACTUALLY QUITE DIFFICULT, THE 7,000 POUND THAT'S HIGH AND DRY RIVER FROM THAT, UM, NOT THE LA RIVER OUT INTO DEEPER WATERS.
WE WERE ASSISTING NO OTHER FISHERIES WITH THAT, NO OTHER FISHERIES TO THE LEAD.
AND THE PORT OF LONG BEACH WAS EXTREMELY SUPPORTIVE IN HELPING US MOVE THAT WHALE.
AND ULTIMATELY OUT TO A DESTINATION 10 MILES PAST ISLAND.
UH, BUT NO OTHER FISHERIES WAS ABLE TO WORK ON THE WHALE.
AND THEY, THEY OBTAINED VITAL ORGANS THAT THEY'RE GONNA USE TO STUDY THE CAUSE OF DEATH.
AND THAT'S WHAT THEY'VE BEEN DOING, NOT ONLY WITH THE WHALE, BUT TWO OF THE DOLPHINS THAT WASHED UP ON RD AS WELL AS OTHER MARINE LIFE.
THEY, UH, PERFORMING THE, THE, UH, THE, AS THEY CALL IT, OPENING WINDOWS INTO THE, UH, THE, THE DOLPHINS OR THE GREEN LIGHT THERE ON THE SPOT.
AND, UH, TAKING VITAL ORGANS, PUTTING THEM IN COOLERS AND TAKING BACK FOR LAB FOR, UH, FURTHER, UH, INVESTIGATION CAUSED.
DO DO YOU THINK IT WAS, I MEAN, WITH ALL THE, THE WATER THAT CAME FROM THE ALTADENA THAT COMES DOWN, I MEAN, IT, IT FLOWS ALL THE WAY DOWN.

AND DID THEY FEEL LIKE THAT'S RELATED TO THE ALGAE OR WHAT WAS THE BEHAVIOR? IT'S UNKNOWN BECAUSE WE WERE ABLE TO CAPTURE THE, THE SEA LINE IS VERY ACTIVE.
UH, IT WAS VERY AGGRESSIVE AND, AND TOOK OFF AND WE WEREN'T ABLE TO, UH, LOCATE IT.

IT'S PRETTY A SIGNIFICANT EVENT.
IT HAPPENED AT OUR DOWNTOWN BEACH, WHICH NO LONGER EXISTS, BUT IS WITHIN THE GEOGRAPHIC FOOTPRINT OF THE MARINE BUREAU, WHICH IS WHAT'S DRIVING OUR SUBCOMMITTEE.
WE MET IN MARCH, MARCH 27TH AND, UH, DONE A FIELD TRIP TO SOME POTENTIAL SITES THAT THE COMMITTEE HAS, UH, ONE POTENTIAL SITE THAT THE COMMITTEE HAS RECOGNIZED MIGHT BE, UH, WITHIN, OUTSIDE OF THE AREA THAT'S DESIGNATED HISTORICALLY THE STATE OF LONG BEACH FOR THE CITY OF LONG BEACH UNDER THE STATE OF CALIFORNIA IS HISTORIC POINT OF INTEREST.
UH, NEVERTHELESS, IF WE, WE ARE ALSO, UH, CONSIDERING THE FACT THAT THE DOWNTOWN SHORELINE, UH, AREA IS UNDER REVIEW FOR SIGNIFICANT REDEVELOPMENT IN THE NEXT, UM, 10, 15, 20 YEARS.
UM, A REPORT WAS JUST ISSUED, UM, AND THEY ARE ASKING FOR COMMUNITY INPUT ON THE DRAFT PLAN THAT WAS JUST RELEASED YESTERDAY, RIGHT WAY.
UM, BUT IT IS THE HISTORIC AREA THAT IS UNDER REVIEW OR THAT HAS BEEN DESIGNATED, I SHOULD SAY STATE CALIFORNIA.
SO WE ARE LOOKING AT SPECIFICALLY POTENTIAL SITE FOR A PLAQUE OR MEMORIAL OR SOME SORT THAT WILL NOT BE SUBJECT TO, UM, THE, UH, POTENTIAL CHANGES TO THAT AREA.
IF WE WERE TO INSTALL A PLAQUE OR MEMORIAL, WHAT WOULD THE CONSEQUENCES BE IN THE NEXT FEW YEARS DEVELOPMENT? WE CHOOSE TO LOOK AT AREAS OUTSIDE OF THE POTENTIAL DEVELOPMENT AREA.
